Recorded November 7, 2018.

When the buyer or seller in a transaction is a business entity, it’s important to follow particular underwriting guidelines.  In this webinar, we examine the primary concerns that must be addressed when working with a business entity:

  • Does the entity exist?
  • Is the entity in good standing with the state?
  • Is the person signing on the entity's behalf authorized to do so?

Our discussion will include review of the different structures, formations and operations of the most common business entities. We will also touch on the basics relating to professional associations, professional corporations, and foreign entities.

At the conclusion of this webinar, attendees will be equipped to answer the following common questions and issues:

  • Who signs for the entity
  • When entity owners are required to approve a transaction
  • What documents does the entity need to provide
  • Distinguishing a transfer of an entity’s ownership interests from a transfer of an entity’s assets
  • Piercing the corporate veil
  • Why “FKA” “DBA” and the rest of the alphabet soup are important
